Introduction & About These Terms

These Terms of Service ("Terms") are an agreement between you and Mission Mālama Corporation ("Mission Mālama," "we," "us," or "our"), a company based in Honolulu, Hawaiʻi.

They govern your access to and use of the Mission Mālama ecosystem described in Section 3 — missionmalama.com, Kahua, Keala, and our Shopify integration (together, the "Services").

Where a provision applies specifically to Merchants or to individual users, we say so. Otherwise, it applies to everyone who uses the Services.

Acceptance of Terms

By accessing or using the Services — including creating an account, installing Kahua, or otherwise participating in the Mission Mālama ecosystem — you agree to these Terms and to our Privacy Policy.

If you're using the Services on behalf of a business, you're agreeing on that business's behalf, and confirming you have the authority to do so.

If you don't agree to these Terms, please don't use the Services.

Mission Mālama Ecosystem / Services

"Services" means, together, missionmalama.com, Kahua, Keala, our Shopify integration, and related Mission Mālama features, APIs, and functionality we may offer as the ecosystem grows.

Our public website — where you can learn about Mission Mālama and the movement.

Kahua

Our business/merchant platform, including our Shopify-connected app, which lets merchants connect commerce, customer participation, and verified environmental impact.

Keala

The customer-facing side of the ecosystem — a person's living record of their impact, progress, and recognition, sometimes referred to as a Passport. See Section 5.

The Services may change over time — see Section 15.

Eligibility & Accounts

You must be able to form a legally binding contract to use the Services. If you're under the age of majority in your jurisdiction, you may only use the Services with the involvement of a parent or guardian.

If you create an account, you're responsible for the accuracy of the information you provide and for keeping your account credentials secure. Let us know at team@missionmalama.com if you believe your account has been accessed without your permission.

Individual Users & Keala

This section applies to individuals using Keala — your personal record within the Mission Mālama ecosystem.

Keala reflects your verified activity within the ecosystem over time: a journey timeline, impact history, and recognition such as stamps, badges, levels, and collections, sometimes referred to together as your Passport.

Whether a given purchase or action is attached to your Keala depends on your own choice at checkout, as described in our Privacy Policy's Customer Consent section. What Keala can show depends on the information available to us — see Section 8 for how we handle errors or corrections to that record.

Merchants, Kahua & Shopify

This section applies to Merchants who install, authorize, or use Kahua, including through Shopify.

Authorization

By installing or connecting Kahua to your Shopify store, you authorize Mission Mālama to access the Shopify data necessary to provide the Services, consistent with our Privacy Policy.

Your Shopify Account

You're responsible for maintaining your own Shopify account and the permissions you grant. Shopify's platform and its own applicable terms are separate from these Terms — nothing here modifies your agreement with Shopify.

Scope of Access

We access Shopify data only as necessary to provide the Services. Where the scopes or permissions Kahua requests need to change — for example, as functionality evolves — we'll provide notice where reasonably practical.

Your Authority to Share Information

You're responsible for having the appropriate rights, authority, notice, and consent to provide information to the Services, including information about your customers.

Installation & Uninstallation

You may install or uninstall Kahua at any time through Shopify. Uninstalling ends your active use of Kahua, subject to Shopify's own data redaction lifecycle and our Privacy Policy's retention and deletion provisions.

Suspension & Termination of the Integration

We may suspend or terminate your Kahua integration for breach of these Terms, suspected fraud or misuse, or as required by Shopify or applicable law — see Section 16.

Plan Changes & Billing

See Section 7 for how Kahua's Shopify app subscription is billed, changed, and canceled.

Plans, Billing, Cancellation & Refunds

Charges for the Kahua Shopify app subscription are billed and processed through Shopify Billing / Shopify App Pricing. Mission Mālama does not use Stripe to bill merchants for the Kahua app subscription.

Stripe may be used elsewhere in the Mission Mālama ecosystem for other invoicing or payment functions, as described in our Privacy Policy's Service Providers section.

Pricing and plans are as shown at checkout or in the Shopify App Store at the time you subscribe. We don't guarantee pricing stays the same over time and will provide notice of material changes where required.

You can change or cancel your plan through Shopify's standard subscription management tools. Cancellation takes effect according to Shopify Billing's own terms.

Amounts you designate toward environmental impact or partner initiatives (Contributions) are separate from the fees you pay for the Services — see Section 8.

Shopify Billing, Not Stripe

Your Kahua app subscription is billed through Shopify Billing / Shopify App Pricing. Stripe, where used elsewhere in the ecosystem, does not process this subscription charge.

Impact, Contributions, Points & Rewards

Impact Events & Impact Metrics

An "Impact Event" is a recorded action — such as a round-up purchase or other qualifying participation — that Mission Mālama attributes toward environmental impact. "Impact Metrics" are figures calculated from Impact Events, merchant information, partner information, transaction data, and our methodologies.

We calculate and report Impact Metrics in good faith, but they depend on the accuracy of merchant, partner, and transaction data, our methodologies, and third-party reporting. We don't guarantee a specific environmental outcome.

Contributions

A "Contribution" is an amount designated toward environmental impact or a partner initiative. Contributions are separate from (a) payments for Mission Mālama or Kahua services, and (b) the underlying merchant/customer commerce transaction itself.

Contributions are not automatically tax-deductible charitable donations, and Mission Mālama Corporation is not a nonprofit organization, unless we state otherwise for a specific Contribution. Consult your own tax advisor.

Where impact is delivered through third-party organizations or partners, we'll disclose that relationship. Those organizations operate independently, and we don't guarantee their own performance — though we work to choose and report on partners responsibly.

Rewards, Points & Passport Progress

Depending on the Services you use, qualifying activity may unlock progress, recognition, loyalty points, or other rewards (together, "Rewards") — including the stamps, badges, levels, and collections that make up your Keala Passport, described in Section 5.

  • Rewards are part of the Mission Mālama ecosystem
  • Rewards do not represent cash, cryptocurrency, securities, or a financial account
  • Rewards have no cash value unless a specific reward expressly states otherwise
  • Rewards may be subject to eligibility requirements and program rules
  • Rewards may be corrected where generated through error, abuse, or fraud

Corrections

We may correct Impact Events, Contributions, Impact Metrics, or Rewards that are erroneous, duplicated, fraudulent, or improperly attributed.

No Cash Value

Mission Mālama points, badges, levels, and Passport progress are not cash, cryptocurrency, or securities, and carry no cash value unless a specific reward says otherwise.

Great communities are built on clarity, integrity, and mutual respect.

Acceptable Use & Community Standards

Every great community needs shared principles. Using the Services means agreeing not to:

  • Commit fraud or attempt to defraud Mission Mālama, a merchant, or another user
  • Impersonate another person or misrepresent your affiliation with anyone
  • Manipulate or falsify impact records, Contributions, points, or Rewards
  • Access the Services without authorization, or attempt to bypass our security measures
  • Interfere with or disrupt the Services, or introduce malicious code
  • Use the Services for any unlawful purpose
  • Misuse another person's information

We may take action, including suspension or termination under Section 16, when these standards aren't followed.

Merchant Responsibilities

Merchants remain responsible for:

  • Their own relationships with their customers
  • Complying with the laws that apply to their own business, including consumer protection and advertising laws
  • Representing Mission Mālama and the Kahua program accurately to their customers
  • The accuracy of the store and account information they provide
  • Using Mission Mālama functionality appropriately with their customers, consistent with these Terms and our Privacy Policy

Intellectual Property

Mission Mālama's name, logos, branding, website, Kahua, Keala, software, designs, original content, methodologies, and platform functionality are owned by Mission Mālama Corporation or its licensors, and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive license to use the Services as intended by these Terms. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Services except as the Services themselves allow.

Cultural Foundations

Mission Mālama does not claim ownership of Hawaiian culture, Hawaiian values, ʻōlelo Hawaiʻi, traditional knowledge, the concept of mālama, ahupuaʻa, or other cultural practices and knowledge belonging to Native Hawaiian culture and community. These inspire our work; they are not our intellectual property.

We Don't Own Mālama

Mission Mālama protects its own name, software, designs, and original content — not the Hawaiian cultural foundations that inspire our mission.

User / Merchant Content

"Content" means information or materials you submit through the Services — for example, account information, store configuration, or messages to our team.

You retain ownership of your Content. You grant Mission Mālama the license needed to host, display, and process it in order to operate the Services, consistent with our Privacy Policy.

You're responsible for having the rights to submit your Content and for its accuracy.

Third-Party Services & Partners

The Services connect with or rely on third-party platforms and service providers — including Shopify, the infrastructure providers described in our Privacy Policy, and environmental partners such as Climeworks, One Tree Planted, and The Ocean Cleanup.

Those third parties are governed by their own terms and privacy practices. Shopify's platform and its own applicable terms remain separate from these Terms. We choose partners responsibly, but we aren't responsible for a third party's own actions, policies, or availability.

Privacy & Data Processing

Our Privacy Policy explains what information we collect and how we use, share, retain, and protect it, and is incorporated into these Terms by reference.

Where Mission Mālama processes personal data on behalf of a Merchant through Kahua or our Shopify integration, the Merchant Data Processing provisions in our Privacy Policy form part of that Merchant's agreement with Mission Mālama.

Service Changes, Availability & Beta Features

We may update, add to, or remove features of the Services over time as Mission Mālama, Kahua, and Keala grow. We don't guarantee the Services will always be available, uninterrupted, or error-free.

Some features may be offered as beta or early access and may change or be discontinued. We'll try to be clear when a feature is offered on that basis.

Suspension & Termination

We may suspend or terminate your access to the Services — including a Merchant's Kahua integration — for violating these Terms, suspected fraud or abuse, a legal requirement, or risk to the Services or other users, with notice where reasonably practical.

You may stop using the Services, close your account, or uninstall Kahua at any time.

Provisions that by their nature should continue — including Intellectual Property, Privacy & Data Processing, Limitation of Liability, and Governing Law — survive termination.

Disclaimers

The Services are provided "as is" and "as available." To the extent permitted by law, we disclaim warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We don't guarantee a specific environmental outcome, uninterrupted or error-free operation, or that every Impact Metric will be perfectly accurate — see Section 8.

Limitation of Liability

To the maximum extent permitted by law, Mission Mālama won't be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from your use of the Services.

Nothing in these Terms limits liability that can't be limited under applicable law.

Important Notice

This section limits certain types of damages as permitted by law. It does not include a specific liability cap — that's a business decision pending founder and legal review, not stated here as a placeholder.

Indemnification

To the extent permitted by law, you agree to indemnify and hold Mission Mālama harmless from claims, damages, and expenses arising from your breach of these Terms, your misuse of the Services, or your violation of applicable law or a third party's rights.

Governing Law & Disputes

These Terms are governed by the laws of the State of Hawaiʻi, without regard to conflict-of-laws principles.

If you have a concern or dispute, please contact us at team@missionmalama.com first — we'd like the chance to resolve it directly.

Changes to These Terms

We may update these Terms as Mission Mālama changes. When we make a material revision, we'll update the "Last Updated" date above and, where appropriate, provide additional notice. Continuing to use the Services after a change takes effect means you accept the updated Terms.

General Legal Terms

These Terms, together with our Privacy Policy, are the entire agreement between you and Mission Mālama regarding the Services, and supersede any earlier agreements on the same subject.

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms don't create any third-party beneficiary rights.
